Website Terms of Use

Please read these Terms carefully. They explain the rules for using OpportunityZones.com and its mobile app, what we are and are not responsible for, and how disputes are handled.

The short version

  • We publish information about Opportunity Zones. It is not investment, tax, or legal advice.
  • Marketplace listings, OZ Pitch Day presentations, and sponsored content are paid advertising from investment sponsors, who pay us flat fees that never depend on whether you invest. We are not a broker-dealer or investment adviser, we do not verify sponsors' information, and nothing here is an offer to sell securities.
  • Our map data comes from public sources and may be out of date; official Treasury and IRS lists control.
  • Use the Services fairly: no scraping, no getting around sign-in, no false or spam submissions.

1. Agreement to these terms

These Terms of Use (the "Terms") are an agreement between you and Kingsbury Media LLC, doing business as OpportunityZones.com ("OpportunityZones.com," "we," or "us"). They govern your use of opportunityzones.com, including our Opportunity Zone map, calculator, OZ Investment Marketplace, and accounts; the OpportunityZones.com mobile app, shown on your device as OppZones (the "App"); our emails; and our online events, including OZ Pitch Day (together, the "Services").

By using the Services, or by creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other organization, you agree to these Terms for it and confirm that you have authority to do so.

2. Who may use the Services

You must be at least 18 years old to use the Services. The Services are intended for people in the United States. If you use them from elsewhere, you are responsible for complying with your local laws.

3. Information only, not advice

The Services provide news, education, data, tools, and information about Opportunity Zones for general information purposes only. OpportunityZones.com does not provide investment, tax, legal, or accounting advice, and nothing on the Services is a recommendation that you buy or sell any security or make any investment. Opportunity Zone investments are speculative, illiquid, and can lose value, and their tax benefits depend on your circumstances and on rules that change. Before you make any investment or tax decision, consult your own qualified investment, tax, and legal advisors.

Articles, podcasts, events, and presentations include the views of their authors, guests, and presenters, which are their own.

4. The OZ Investment Marketplace and sponsored content

No offer of securities. Listings in the OZ Investment Marketplace, presentations at OZ Pitch Day, and sponsored emails and content are advertising provided by the sponsors of those investments. Nothing on the Services is an offer to sell, or a solicitation of an offer to buy, any security. Any offer is made only by the sponsor, only through its own offering documents, and only where the law allows.

What we are not. OpportunityZones.com is a publisher. We are not a registered broker-dealer, investment adviser, or funding portal. We do not evaluate whether any investment is suitable for you, negotiate or execute transactions, hold or handle investor funds, or take part in any offering.

Sponsors pay us. Every listing in the OZ Investment Marketplace is a paid placement. Sponsors and advertisers pay us flat fees for listings, OZ Pitch Day presentations, sponsored emails such as "OZ Deal of the Week," and other advertising and sponsorships. Our fees never depend on whether anyone invests: we receive no commission, placement fee, share of capital raised, or other compensation based on investments. A listing, presentation, or mention on the Services is not an endorsement or recommendation by us.

Sponsors supply the information. The information about each investment, including its terms, projections, documents, and images, comes from its sponsor. We do not audit or verify it and do not guarantee that it is accurate, complete, or current. Do your own due diligence and read the sponsor's offering documents.

Accredited investors. Many offerings are open only to accredited investors. When you tell us whether you are an accredited investor, we record your answer as you give it; we do not verify it, and it does not establish that you are eligible for any offering. Sponsors are responsible for verifying eligibility. Some listing details are visible only when you are signed in; signing in does not mean you qualify for an offering.

Your dealings with sponsors. When you request information from a sponsor, we send your details to that sponsor as described in our Privacy Policy. Any relationship, communication, or investment between you and a sponsor is solely between you and that sponsor, and we are not responsible for it.

5. The Opportunity Zone map, data, and calculator

Our map and data are compiled from public sources, including the U.S. Department of the Treasury, the IRS, the U.S. Census Bureau, and announcements by state governments. Opportunity Zone designations, eligibility, and nominations change, and our data may be incomplete, out of date, or wrong. The official lists and guidance published by the Treasury and the IRS control. Confirm a property's status with official sources and your advisors before relying on it.

Tract reports present the same map data, with the same limits, as of the day you create them.

The calculator and the reports it produces are estimates based on the information you enter and on simplifying assumptions. They are not tax advice and do not replace a calculation by your tax advisor.

6. Your account

You can create a free account to save listings, searches, map tracts, and calculator scenarios, to create tract reports, and to see full listing details. You can sign in with a code or link we email you, a password, or your Apple, Google, LinkedIn, or Microsoft account, where offered. Give us accurate information, keep it current, and use an email address that belongs to you. One account is for one person. Keep your sign-in codes, links, and password to yourself, and keep any account you sign in with secure; you are responsible for activity on your account, and you should tell us at [email protected] if you believe someone else has used it. You can delete your account at any time from your account page or in the App, as described in our Privacy Policy.

7. Emails, calls, and texts

When you give us your email address, you agree that we may email you about the Services, including our newsletter, events, and our sponsors' offerings, as described on the form where you gave it. You can unsubscribe from our newsletter and marketing emails at any time using the link in each one, and you can stop weekly saved-search emails by removing the saved search on your account page or in the App. We will still send emails you need to use your account, such as sign-in codes.

If you give us a phone number, you agree that we and the sponsors we share it with may call or text you at that number: when you register for OZ Pitch Day or another event, about the event and the sponsors' Opportunity Zone offerings; and when you request information about a listing, about your request. Message and data rates may apply. You can tell the caller or sender at any time to stop contacting you.

8. OZ Pitch Day and other events

Our online events are hosted on Zoom, and Zoom's own terms apply to your use of it. Presentations are given by sponsors and speakers, not by us, and are subject to section 4 above. As described in our Privacy Policy, we share registration details with event sponsors.

Events are recorded, and we publish the recordings. Attendees' microphones and cameras stay off, so your voice and image are not recorded. You take part by typing in the chat or Q&A. We or the presenters may read your questions and comments aloud, sometimes with your first name or, occasionally, your full name, and they may appear in the published recording. You agree that we may use them for that purpose. If you would rather not be named, submit your question anonymously where the Q&A allows it.

9. What you submit

You keep ownership of what you send us, such as inquiries, questions, comments, listing materials, and feedback ("Submissions"). You give us a worldwide, royalty-free, non-exclusive, perpetual license to use, host, copy, display, adapt, and distribute your Submissions to operate, improve, and promote the Services, including sending your inquiries to sponsors as described in our Privacy Policy. You are responsible for your Submissions and confirm that you have the rights to send them and that they do not violate the law or anyone's rights. We may decline, edit, or remove any Submission. If you send us feedback or suggestions, we may use them without any obligation to you.

Additional terms for sponsors

If you submit a listing, sponsor content, or present at an event, you also agree that:

  • your listing and materials are accurate, complete, and not misleading, and you will keep them current and tell us promptly when an offering closes or changes;
  • your offering, your listing, and your communications with investors comply with securities laws and all other applicable laws, including the rules on general solicitation and on verifying accredited investors, and you are solely responsible for that compliance;
  • you have the rights to the materials you provide, and we may display them, reformat them, and create summaries, fact sheets, and map markers from them;
  • you will use investor information we send you only to respond to that investor about your offering or event, protect it, comply with privacy and communications laws, and stop contacting anyone who asks you to; and
  • we may decline, edit, pause, or remove any listing or content at our discretion.

Separate written agreements with sponsors control where they conflict with this section.

10. Acceptable use

You agree not to:

  • scrape, crawl, or bulk-download the Services, their map tiles, or their data, or use them to build a competing product or dataset, except as search engines do to index public pages;
  • get around sign-in requirements, rate limits, or other access controls, or share your account to do so;
  • submit false information, inquiries in someone else's name, spam, or automated submissions;
  • probe, test, or attack the security of the Services, or interfere with their operation;
  • reverse engineer the App or the Services, except where the law allows it despite this restriction;
  • use the Services to harass anyone, to violate the law, or to infringe anyone's rights; or
  • misrepresent your identity or your connection with any person or organization.

11. Our content and trademarks

The Services and their content, including articles, guides, podcasts, videos, the design of the map, and our compilation and enhancement of public data, belong to OpportunityZones.com or its licensors and are protected by copyright and other laws. Government data that is in the public domain remains so. You may view and use the Services for your own personal or internal business purposes, share links to them, and share map views and exports you create, with credit to OpportunityZones.com. Any other copying, republishing, or commercial use requires our written permission.

OpportunityZones.com, OZ Pitch Day, OZ Insiders, and our logos are our trademarks. Other names and logos on the Services belong to their owners.

12. Copyright complaints

If you believe content on the Services infringes your copyright, email [email protected] with a description of the work, the location of the material on the Services, your contact information, a statement that you have a good-faith belief that the use is not authorized, and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. We will respond to notices that meet the requirements of the Digital Millennium Copyright Act.

13. The mobile App

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, subject to these Terms and to the usage rules of the app store you downloaded it from. We may update the App, and some updates may be required to keep using it.

When using the App, you must comply with any third-party terms that apply to you, such as your wireless carrier's.

If you downloaded the App from Apple's App Store, Apple's standard Licensed Application End User License Agreement also applies, and you and we also agree that:

  • these Terms are between you and us only, not Apple, and Apple is not responsible for the App or its content;
  • Apple has no obligation to provide maintenance or support for the App;
  • if the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the extent the law allows, Apple has no other warranty obligation for the App;
  • Apple is not responsible for addressing any claims by you or anyone else relating to the App, including product liability claims, claims that the App fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws;
  • if anyone claims that the App or your use of it infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling, and discharging that claim;
  • you confirm that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Third-party websites and services

The Services link to and rely on websites and services we do not control, including sponsors' websites, sign-in providers, Zoom, and map providers. We are not responsible for their content, terms, or practices, and a link is not an endorsement. Your use of them is governed by their own terms and privacy policies.

15. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SERVICES, AND RELY ON ANY INFORMATION IN THEM, AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, OPPORTUNITYZONES.COM, ITS AFFILIATES, AND THEIR OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENTS, TAX BENEFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES, ANY CONTENT, ANY INVESTMENT OR DECISION YOU MAKE, OR ANY DEALINGS WITH A SPONSOR, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

17. Indemnification

You agree to defend, indemnify, and hold harmless OpportunityZones.com, its affiliates, and their owners, officers, employees, agents, and partners from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your Submissions, your violation of these Terms or the law, or, if you are a sponsor, your listings, offerings, and communications with investors.

18. Suspension and termination

We may change, suspend, or discontinue any part of the Services, and we may suspend or close your account or restrict your access, at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the Services and delete your account at any time. Sections that by their nature should survive, including those on Submissions, intellectual property, disclaimers, limitation of liability, indemnification, and disputes, survive termination.

19. Governing law and disputes

These Terms are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at [email protected] and try in good faith to resolve the dispute informally for at least 30 days.

Any dispute arising from or relating to these Terms or the Services that is not resolved informally will be brought only in the state or federal courts located in Tarrant County, Texas, and you and we consent to the personal jurisdiction and venue of those courts.

20. Changes to these terms

We may update these Terms from time to time and will change the "Last updated" date above when we do. If we make a material change, we will tell account holders by email or with a notice on the Services before the change takes effect. By continuing to use the Services after a change takes effect, you agree to the updated Terms.

21. General terms

These Terms and our Privacy Policy, together with any separate written agreement you have with us, are the entire agreement between you and us about the Services. If any part of these Terms is found unenforceable, it will be enforced to the extent possible and the rest will remain in effect. Our failure to enforce any part is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. These Terms are written in English, and a printed copy of them is admissible in any legal proceeding.
